By using our website, services, and tools, you agree to comply with and be legally bound by the following Terms and Conditions (the 'Terms'). If you do not agree with any of these Terms, you must refrain from using our Platform.

1. Introduction

Carfero is a platform designed to connect sellers of luxury and supercars with prospective buyers and dealerships. We act as an intermediary to connect parties. Our services facilitate introductions between buyers and sellers, assist in negotiations, and provide support in completing transactions.

2. Eligibility

By using our Platform, you represent that:

• You are at least 18 years old or the age of majority in your jurisdiction.
• You have the authority to enter into legally binding agreements.
• The information you provide to us is accurate, current, and complete.

3. Services Provided

Carfero provides the following services:

• Connecting Sellers and Buyers: Facilitating introductions between sellers of luxury vehicles and interested buyers or dealerships.
• Price Evaluation & Offers: Assisting sellers in obtaining offers from interested parties.
• Transaction Support: Offering tools and resources to help finalize vehicle transactions.

We do not:

• Take ownership of any vehicles listed on the Platform.
• Guarantee the quality, safety, legality, or availability of vehicles.
• Assume responsibility for any issues related to the vehicles, including misrepresentations or defects.
• Offer warranties of any kind on any vehicles sold via the Platform.

4. Disclaimer of Responsibility for Seller Information and Valuations

Carfero acts as an intermediary platform and does not independently verify the accuracy or completeness of information provided by sellers. Users of our Platform should be aware of the following:

• Seller-Provided Information: All vehicle descriptions, specifications, and condition reports are provided by the sellers. Carfero does not guarantee the accuracy, completeness, or reliability of this information.
• Estimated Values: Any vehicle valuations or price estimates provided through our Platform are for reference only. These estimates are based on various factors and market data but may not reflect the actual market value of a specific vehicle.
• Buyer Due Diligence: All potential buyers, including dealers, are strongly advised to conduct their own thorough due diligence before making any purchase decisions. This includes, but is not limited to, physical inspections, verification of vehicle history, and independent valuations.
• No Liability: Carfero explicitly disclaims any responsibility or liability for any losses, damages, or inconveniences arising from reliance on information provided by sellers or on estimated values generated through our Platform.
• Third-Party Verification: We recommend that users consider professional third-party inspections or verifications, especially for high-value transactions.

By using our Platform, you acknowledge and accept that Carfero is not responsible for any inaccuracies in vehicle listings, descriptions, or valuations, and that all transactions are conducted at the users' own risk.

5. User Responsibilities

5.1 Sellers

By listing a vehicle on Carfero, sellers agree to the following:

• You are the legal owner or have authorization to sell the vehicle.
• The information provided about the vehicle, including specifications, history, and condition, is accurate and not misleading.
• You will promptly notify us if any information about your vehicle changes.
• You will comply with all applicable laws in the sale of your vehicle, including the transfer of ownership and any tax obligations.

5.2 Buyers

By using Carfero to purchase a vehicle, buyers agree to:

• Conduct all necessary due diligence before making a purchase.
• Verify the vehicle's condition, specifications, and ownership before finalizing the transaction.
• Comply with all legal obligations, including but not limited to the registration and payment of applicable taxes or fees.

6. Fees and Payments

• Carfero charges a one time platform fee on completed sales that will be settled by the vehicle purchaser. All fees will be clearly outlined before any transaction is finalized.
• Sellers and buyers are responsible for their own payment arrangements and ensuring that payments are made securely. Carfero does not process payments directly for vehicle sales.
• Any failure to pay the agreed fees may result in suspension or termination of your account.

7. Limitation of Liability

To the fullest extent permitted by law, Carfero and its affiliates, directors, employees, and agents disclaim any liability for:

• Any loss, damage, injury, or harm (including financial loss) resulting from the use of the Platform, including but not limited to vehicle defects, misrepresentations, or transaction disputes.
• Indirect, incidental, special, punitive, or consequential damages, even if we have been advised of the possibility of such damages.
• Any errors, omissions, interruptions, or delays in the Platform's services.
• Any inaccuracies or misrepresentations in vehicle listings, descriptions, or estimated values provided by sellers or generated through our Platform.

We are not liable for any content or information provided by third-party sellers or buyers. We cannot guarantee the accuracy or completeness of listings or offers on the Platform.

8. Indemnification

You agree to indemnify and hold harmless Carfero, its affiliates, and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Platform.
• Any breach of these Terms.
• Any disputes between buyers and sellers regarding vehicle transactions.

9. Dispute Resolution

In the event of any dispute between users (buyers or sellers) regarding a transaction, you agree to first attempt to resolve the dispute directly with the other party. Carfero is not responsible for mediating or resolving disputes but may, at our sole discretion, offer assistance.

10. Warranties Disclaimer

The Platform and all services are provided on an "as-is" and "as-available" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Carfero does not guarantee:

• The availability, accuracy, or reliability of the Platform.
• That the Platform will be free from errors, bugs, or interruptions.
• That vehicles listed on the Platform will meet buyers' expectations.

11. Termination

We reserve the right to terminate or suspend access to the Platform at our discretion, without prior notice, for any reason, including but not limited to:

• Violation of these Terms.
• Engagement in fraudulent or illegal activities.
• Failure to pay any applicable fees.

Upon termination, you must cease all use of the Platform and any outstanding obligations (such as fees) remain your responsibility.

12. Intellectual Property

All content on the Platform, including logos, trademarks, and proprietary software, is owned by Carfero or our licensors. Unauthorized use of any of our intellectual property is strictly prohibited.

13. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy which governs how we collect, use, and protect your personal information.

14. Amendments to Terms

We may update or modify these Terms at any time. If we make material changes, we will notify users via email or through the Platform. Continued use of the Platform after the changes are posted constitutes your acceptance of the revised Terms.

16. Additional Provisions

16.1 Vehicle Listings

Sellers are responsible for ensuring that their vehicle listings comply with all applicable laws and regulations, including those related to vehicle advertising and consumer protection.

By submitting content to the Platform (including vehicle listings, comments, and messages), you grant Carfero a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with providing and promoting the Platform's services.

16.3 Platform Security

Users are prohibited from attempting to breach the Platform's security measures or to interfere with its proper functioning. Any such attempts may result in legal action.

16.4 Third-Party Links

The Platform may contain links to third-party websites. Carfero is not responsible for the content or practices of these websites and users access them at their own risk.

16.5 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
